The issue is that even though Netflix has announced that it bought Warner, there is still a risk that this negotiation may or may not go through, due to anti-monopoly laws. This is because if Netflix were to buy Warner Bros., it would have access to the entire HBO Max catalog, making it much more relevant than its competitors and allowing it to determine the direction of the market.

Um dos acontecimentos que tem movimentado bastante o mercado financeira nos últimos dias é a venda da Warner Bros Discovery. Essa notícia é tão recente que quase todo dia tem tido uma nova novidade, uma nova oferta, uma nova proposta, um novo acordo. Tudo isso tem feito com que para quem está querendo saber de fato o que está acontecendo tenha dificuldade, porque começou com Netflix noticiando publicamente a compra da Warner, mas depois veio uma oferta da Paramount, e ainda tem a questão da oferta ser barrada por risco de monopólio. Netflix ganha o Leilão!

Pelo que eu acompanhei das notícias relacionadas à venda da Warner Bros Discovery, parece que tudo começou porque a empresa possuia uma grande dívida, o que teria motivado ela a abrir um leilão para vender a empresa. Nesse leilão, foi divulgado que o ganhador foi a Netflix pagando um valor que alguns diziam ser próximo dos 70 bilhões e em outros locais $82,7 que seria o total de fato.

De um lado temos a Warner Bros sendo vendida em partes porconta da dívida e do outro temos a Netflix vendo isso como uma grande oportunidade, porque por mais que a empresa tenha uma grande relevância no streaming, tendo uma grande base de usuários e uma boa plataforma, ela não tem grandes propriedades intelectuais como as da Warner Bros na HBO, que conta com: Harry Potter, todo o universo de herois da DC, Senhor dos Aneis, diversas séries famosas, Cartoon Network, Game of Thrones e outros. Isso faria com que a Netflix avançasse o seu catálogo de forma bem relevante, entrando em um outro patamar frente aos concorrentes.

Imprevistos - Paramount e Leis contra monopólio

A questão é que por mais que a Netflix tenha divulgado que comprou a Warner existe ainda o risco dessa negociação passar ou não, por conta das leis contra monopólio. Isso porque a Netflix comprando a Warner Bros, teria acesso à todo catálogo da HBO MAX e com isso se tornaria muito mais relevante do que os demais concorrêntes, o que possibilitaria com que ela pudesse determinar os rumos do mercado.

Além disso, depois do leilão ter acabado, está sendo noticiado que a Paramount passou pelo board da Warner Bros e fez uma oferta direta para os acionistas no valor de $108 bilhões, mas com uma diferença que é esse valor por todos os negócios da Warner Bros, contando a parte de TV. Agora com essas duas incertezas a resposta que temos para a conclusão dessa venda ainda é incerta.
