Many firms are suing Strategy (formerly MicroStrategy) over its Bitcoin holdings primarily due to allegations of misleading investors and mishandling the financial reporting related to its large Bitcoin portfolio.

Some of the key reasons include:

• Strategy reported a $5.9 billion unrealized loss in Q1 2025 after adopting a new Financial Accounting Standards Board (FASB) rule that requires crypto assets to be valued at market price on the balance sheet. Investors allege that Strategy failed to properly disclose the impact of this accounting change, which led to a sharp drop in the company's share price.

• Lawsuits claim that Strategy executives downplayed Bitcoin's price volatility and misrepresented the risks and effects of the accounting changes. This includes accusations that the company did not fully disclose the risks associated with its Bitcoin investment strategy, violating securities laws.

• Multiple lawsuits allege securities fraud, accusing Strategy of making materially false and misleading statements to investors about its Bitcoin holdings and financial health. This has intensified scrutiny of the company’s reporting practices and corporate conduct.

• Strategy's aggressive Bitcoin accumulation exposes shareholders to significant volatility and impairment charges. Due to accounting rules, any drop in Bitcoin's market price below its purchase price forces the company to record large losses on its income statement, even if the price later recovers.
